Terms of Service

1. Acceptance of Terms
By accessing https://wayfoundstudio.com or purchasing services from Lily Inc. operating under the brand Wayfound Studio ("we," "us," "our"), you ("Customer," "you") agree to these Terms of Service ("Terms"). If you do not agree, do not use our services.
2. Description of Services
We provide:
- Website redesign services (Basic / Standard / Premium plans).
- Monthly website maintenance ($149/month, optional).
- Add-on services (SEO, additional content, additional pages, reservation systems, languages beyond your plan's included count, etc.) at additional cost.

3. Eligibility
You must be at least 18 years old and legally authorized to enter contracts on behalf of your business.
4. Account & Information Accuracy
You agree to provide accurate, current, complete information. You are responsible for maintaining the confidentiality of your account credentials and all activity under your account.
5. Service Plans and Pricing
Current plans:
- Basic — $2,499 one-time
- Standard — $3,999 one-time
- Premium — Starting at $7,500 (custom quote)
- Monthly Maintenance — $149/month (cancellable per Refund Policy)
Prices are in U.S. dollars and exclude applicable taxes. We may change prices for new orders; existing contracts are not affected.
5.1 Language Coverage
Plan-included languages: Basic — 1 language. Standard — 2 languages. Premium — 4 languages.
Wayfound prepares translations for plan-included languages using a combination of AI translation and human review. During onboarding, you may instead provide your own translations; in that case, you are responsible for translation accuracy.
Additional languages beyond your plan's included count are available as add-ons at additional cost.
6. Payment
- Payments are processed by Stripe.
- One-time fees are due at order placement.
- Monthly subscriptions are billed in advance each billing cycle.
- Failed payments may result in service suspension after notice.
7. Delivery Timeline
- Basic: 6 business days from project spec-lock.
- Standard: 10 business days from project spec-lock.
- Premium: 18 business days from project spec-lock; complex projects may take longer per the scope agreement.
"Spec-lock" means the point at which your onboarding is complete: all required materials have been provided, your section selections from our catalog are finalized, and the build specification is approved by you. Build time is counted from spec-lock; time spent in onboarding before spec-lock is not counted toward the build timeline.
Timelines depend on prompt customer response during onboarding.
Rush delivery may be available on a case-by-case basis at additional cost.
8. Revisions
- Included revisions: Basic — 2 rounds. Standard — 3 rounds. Premium — 5 rounds.
- A "revision round" consists of all revision requests submitted together in a single batch. Multiple separate change requests submitted at different times count as separate rounds.
- Minor revisions (copy adjustments, swapping a section variant for another in our catalog, palette adjustments within your chosen palette) count against your included rounds.
- Major changes (adding pages, structural changes to the site architecture, scope expansion beyond your plan) are not included; they are billed as additional scope or as a plan upgrade.
- Revision requests are accepted within 14 days of final delivery. After 14 days, changes are handled via the Monthly Maintenance plan or as separately billed work.
- Premium plans may include additional revisions per the individual scope agreement.
9. Intellectual Property
- Upon full payment, you receive a license to use the final delivered website for your business. We host the website on your behalf; you do not receive the underlying source code, templates, or composer system.
- We retain ownership of underlying templates, components, and methodologies, including the right to reuse them in other projects.
- You are responsible for ensuring you have rights to all content (text, images, logos) you provide.
9.1 Portfolio & Case Study License (you grant to us)
By purchasing any service, you grant Wayfound Studio (Lily Inc.) a perpetual, royalty-free, worldwide, non-exclusive license to use the website we deliver to you — including screenshots, the live URL, your business name, business category, and any non-confidential outcomes you choose to share — in our portfolio, case studies, social media, email marketing, sales decks, and any other marketing or promotional materials. This is how we demonstrate our work to future customers.
What we will NOT publish without your prior written consent:
- Your private files, internal documents, or unfinished drafts.
- Personally identifiable information of your customers or staff that does not already appear publicly on the delivered website.
- Financial figures, contract terms, or confidential business details.
You may revoke this Portfolio License at any time by emailing info@wayfoundstudio.com with the subject line "Revoke Portfolio License" and your business name. We will remove your work from new materials we publish within 30 days; previously published materials may continue to exist in archived form (e.g., older social posts, decks already sent to prospects) but will not be re-shared by us going forward.
If you require a non-portfolio engagement (i.e., we may not use your project as a case study), please email us before purchase to discuss a non-portfolio surcharge.
9.2 Website Content Updates
The delivered website is updated by Wayfound Studio on your behalf. We do not provide a self-service content management system; customer-driven content updates are not available by default.
Routine updates (e.g., revising business hours, swapping photos, updating service descriptions) are available through our Monthly Maintenance plan ($149/month, up to 2 hours of content updates per month). Updates without an active Maintenance subscription may be requested as separately billed work, subject to availability and quoted on request.
10. Acceptable Use
You agree not to:
- Use our services for illegal, fraudulent, or harmful purposes.
- Reverse-engineer, copy, or resell our services.
- Use our services to host content that infringes IP, violates privacy, or harms others.
11. Maintenance Subscription
- Maintenance is optional and billed monthly.
- Maintenance includes: monthly content updates (up to 2 hours of work), security updates, backups, analytics reports, and priority support per the scope on https://wayfoundstudio.com.
- Hosting of your delivered website is included in your one-time plan price (Basic, Standard, or Premium); a Maintenance subscription is not required to keep your site live.
- We reserve the right to require an annual hosting fee or active Maintenance subscription for continued hosting in the future, with at least 60 days' prior written notice to existing customers.
- You may cancel before the next billing date to avoid the next charge.
- Major redesigns or scope expansions are not included in Maintenance.
11.1 Support Channels
- Standard support across all plans is delivered via email and Loom video (asynchronous, English).
- Live video meetings (Google Meet) are exclusive to Premium plan customers and are limited to the number of sessions specified in the Premium plan scope (currently two 30-minute sessions post-launch).
- We do not offer pre-purchase consultation calls. Pricing, plans, and scope details are available at https://wayfoundstudio.com; questions before purchase are answered via email.
12. Cancellation and Refunds
See our separate Refund Policy for details. Briefly:
- Full refund before project spec-lock (onboarding complete, build begun).
- Partial refunds may apply between spec-lock and final delivery on a case-by-case basis.
- No refunds after final delivery; revision support per Section 8 applies.
- Monthly maintenance is cancellable before the next billing date.
13. Limitation of Liability
To the maximum extent permitted by law, our total liability for any claim arising from these Terms or services is limited to the amount you paid in the 12 months prior to the claim. We are not liable for indirect, consequential, incidental, or punitive damages.
14. Disclaimer
Services are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for purpose, or non-infringement.
15. Indemnification
You agree to indemnify and hold Lily Inc. (Wayfound Studio) harmless from claims arising from your content, your use of services, or your violation of these Terms.
16. Termination
We may suspend or terminate services for material breach (including non-payment), illegal use, or abusive conduct. Upon termination, unpaid amounts become immediately due.
17. Governing Law
These Terms are governed by the laws of Japan, without regard to conflict-of-law principles. Disputes will be resolved in the courts of Japan.
18. Changes to Terms
We may update these Terms. Material changes will be posted with an updated "Last Updated" date. Continued use after changes means acceptance.
